These Terms of Service (“Terms”) govern your purchase of, access to, and use of products and services offered by Armorstack, LLC (“Armorstack”, “we”, “our”, “us”). By using our services, you agree to these Terms.

Part A — Master Terms

1. Services

Armorstack provides Managed Intelligence Provider services across four portfolios: VERITY (advisory and governance), CORE (IT-as-a-service and infrastructure), SENTRY (cybersecurity and threat management), and CITADEL (physical security). Specific service deliverables, scopes, and fees are governed by separate Master Service Agreements (MSAs) and Statements of Work (SOWs) executed between Armorstack and each client.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

3. Acceptable Use

You agree not to: (i) use Armorstack services to violate any applicable law; (ii) reverse-engineer, decompile, or disassemble proprietary software except as expressly permitted by law; (iii) resell, sublicense, or redistribute services without written authorization; (iv) interfere with or disrupt Armorstack systems or other users; or (v) circumvent technical protection measures.

4. Intellectual Property

All Armorstack marks, software, content, and methodologies are the exclusive property of Armorstack, LLC. No license is granted except as expressly set forth in these Terms or a separate written agreement.

5. Disclaimer of Warranty

SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARMORSTACK’S AGGREGATE LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU PAID FOR THE APPLICABLE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). ARMORSTACK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

7. Indemnification

You agree to indemnify and hold harmless Armorstack, its officers, employees, and agents from any claim arising out of (i) your breach of these Terms, (ii) your misuse of Armorstack services, or (iii) your violation of applicable law.

8. Governing Law and Venue

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict-of-law principles. Exclusive jurisdiction and venue lies in the state and federal courts located in Waukesha County, Wisconsin.

9. Changes to These Terms

Material changes will be announced at least thirty (30) days before taking effect. Continued use after the effective date constitutes acceptance.

Part B — InboxSentry Product-Specific Terms

This section applies in addition to Part A for users of the InboxSentry desktop application. Where Part B and Part A conflict, Part B controls for InboxSentry.

B-1. License Grant

Subject to your payment of applicable fees and your compliance with these Terms, Armorstack grants you a non-exclusive, non-transferable, revocable license to install and use InboxSentry on the number of devices specified for your purchased plan. The license is granted to a single licensee identified by the email address provided at purchase.

B-2. Plans and Pricing

“One-time” purchases provide a perpetual license for the version available at the time of purchase, plus 12 months of updates. Continued updates beyond 12 months require renewal at the then-current rate.

B-3. Subscription Auto-Renewal

Monthly and annual subscriptions automatically renew at the end of each billing cycle at the then-current rate unless cancelled prior to the renewal date. You may cancel any time through your account portal or by emailing [email protected]. Cancellation takes effect at the end of the then-current billing period; no partial refunds are issued for unused subscription time except as required by applicable law. For California, Oregon, New York, and other jurisdictions with statutory auto-renewal disclosure requirements, this notice constitutes the disclosure required by such laws.

B-4. Refunds

• One-time licenses: 30-day money-back guarantee from date of purchase
• Monthly subscriptions: pro-rata refund only if cancelled within 7 days of initial purchase
• Annual subscriptions: pro-rata refund within first 30 days of initial purchase or annual renewal
• Team / Enterprise: refund terms governed by separate written agreement

B-5. Device Activation and Limits

Each license is bound to a hardware device fingerprint. When the device limit for your plan is reached, you must deactivate an existing device before activating a new one. Devices that have not heartbeated in 90 days are automatically pruned to free a slot.

B-6. AI Output Disclaimer

InboxSentry uses AI models (Anthropic Claude) for email categorization and, in v2.1+, reply drafting. AI outputs are guidance, not infallible. The user is responsible for the ultimate disposition of all email. Armorstack does not warrant that AI triage outputs will be accurate for any specific purpose.

B-7. Updates

Armorstack may release updates at its discretion, including security updates that may be marked mandatory. Mandatory security updates that materially change application behavior will include 30-day advance notice except where immediate deployment is necessary to mitigate an active security threat.

B-8. InboxSentry-Specific Acceptable Use

In addition to Section 3 of Part A, you agree NOT to use InboxSentry to scan or process email accounts you are not authorized to access, and NOT to submit content to AI inference endpoints intended to manipulate model behavior in violation of Anthropic’s usage policies.

B-9. Brand Transferability

The InboxSentry product, the inboxsentry.ai domain, and product-specific marks may be transferred independently of the broader Armorstack business. Active license holders will receive at least thirty (30) days advance notice of any such transfer.
